Freelancer Agreement
TechConnect - Guardiantech Pro Services Private Limited
This Freelancer Agreement (“Agreement”) is entered into between Guardiantech Pro Services Private Limited, operating the TechConnect platform (“Company”, “Platform”, “We”, “Us”), and the registered freelancer (“Freelancer”, “You”, “Your”).
By registering and offering services on the TechConnect platform, you agree to comply with the terms set forth in this Agreement.
1. Scope of Services
• The Freelancer agrees to provide professional services as listed in their profile or agreed upon with clients through the TechConnect platform.
• All services must be delivered in accordance with agreed timelines, quality standards, and project requirements.
2. Independent Contractor Status
• The Freelancer operates as an independent contractor and is not an employee, partner, or agent of Guardiantech Pro Services Private Limited.
• The Freelancer is solely responsible for taxes, insurance, and legal compliance applicable to their services.
3. Account Registration and Responsibilities
• The Freelancer must provide accurate and complete information during registration.
• The Freelancer is responsible for maintaining the confidentiality of login credentials.
• Any unauthorized use of the account must be reported immediately.
4. Project Engagement and Communication
• All project discussions, agreements, and deliverables must be managed through the TechConnect platform.
• Freelancers must communicate professionally and maintain transparency with clients.
• Freelancers must not share misleading information or false commitments.
5. Payments and Fees
• Payments for services must be processed exclusively through the TechConnect platform.
• The Company may charge a service fee or commission on completed projects.
• Freelancers will receive payment only after successful completion of milestones or projects, as approved by the client.
• Any attempt to bypass platform payments may result in account suspension or termination.
6. Refunds and Disputes
• Freelancers agree to comply with the platform’s Refund Policy.
• In case of disputes, freelancers must cooperate with the resolution process initiated by TechConnect.
• The Company reserves the right to make final decisions regarding disputes.
7. Intellectual Property Rights
• Freelancers retain ownership of their work until full payment is received.
• Upon payment, ownership of deliverables is transferred to the client unless otherwise agreed.
• Freelancers must ensure that all submitted work is original and does not infringe on third-party rights.
8. Confidentiality
• Freelancers must maintain confidentiality of all client information and project details.
• Confidential information must not be disclosed or used for any purpose outside the agreed project scope.
9. Code of Conduct
• Freelancers must adhere to the platform’s Code of Conduct at all times.
• Any abusive, fraudulent, or unethical behavior may result in account suspension or termination.
10. Prohibited Activities
Freelancers are strictly prohibited from:
• Engaging in fraudulent or illegal activities
• Plagiarizing or submitting copied work
• Circumventing platform policies or payment systems
• Misusing client data or platform resources
11. Termination of Account
• The Company reserves the right to suspend or terminate freelancer accounts for violations of this Agreement.
• Freelancers may also choose to deactivate their account at any time, subject to completion of ongoing obligations.
12. Limitation of Liability
• Guardiantech Pro Services Private Limited is not liable for disputes, losses, or damages arising between clients and freelancers.
• The platform acts solely as an intermediary to facilitate connections and transactions.
13. Amendments
• The Company reserves the right to modify this Agreement at any time.
• Continued use of the TechConnect platform constitutes acceptance of updated terms.
14. Governing Law
• This Agreement shall be governed by and interpreted in accordance with the laws of India.
• Any disputes shall be subject to the jurisdiction of applicable courts in India.
